An EIN will be obtained if and when required by applicable US tax or regulatory obligations.

2. Nature of Business and Role of DITC LLC

DITC LLC operates the website www.ditc.io and provides technology and infrastructure services only. DITC LLC develops and operates the payment gateway software, application programming interfaces (APIs), merchant dashboard, transaction-routing technology, technical integration and onboarding tooling, reporting tools, the technical integration of fraud-screening services, and customer and merchant technical support, together with related marketing activities.

DITC LLC is not a bank, money services business, payment institution, electronic money institution, or virtual asset service provider, and holds no financial licence of any kind. Under no circumstance does DITC LLC hold, receive, control, safeguard, transmit, or route client or merchant funds; perform settlement; make payouts; hold or manage rolling reserves; execute refunds or chargebacks financially; or provide any regulated financial service.

All fund-related functions referred to on www.ditc.io – including the receipt and holding of client and merchant funds, settlement in fiat and USDT, payouts, rolling reserve withholding, management and release, refund and chargeback debits and credits, negative balance recovery, foreign-exchange conversion, and minimum settlement thresholds – are performed exclusively by SENDORA INC. (“Sendora”, the “Settlement Entity”). Merchants and clients contract with DITC LLC for technology services and with Sendora Inc. as the fund-holding and settlement entity. Acquirers, card schemes, and liquidity providers remain generic third parties upstream in the card-processing chain.

2.2 Important Consumer Notice – Regulatory Status

Registration is not a licence. Registration of Sendora Inc. as a Money Services Business with FINTRAC is a registration requirement under Canadian anti-money-laundering legislation. It is not a prudential licence, it does not constitute authorisation to carry on banking or deposit-taking business, and it does not amount to any approval, endorsement, or guarantee by FINTRAC, the Government of Canada, or any other public authority of Sendora Inc., DITC LLC, or the services offered on www.ditc.io. FINTRAC does not supervise the financial soundness of registered money services businesses.

No deposit insurance or compensation scheme. Funds held by Sendora Inc. are not deposits and are not deposit-insured. They are not covered by the Canada Deposit Insurance Corporation (CDIC), the US Federal Deposit Insurance Corporation (FDIC), the UK Financial Services Compensation Scheme (FSCS), or any European Union deposit-guarantee scheme. No investor compensation scheme applies to these services. In the event of the insolvency of Sendora Inc. or of any upstream institution in the payment chain, funds may be at risk.

No authorisation in the EU, EEA, UK, or United States. Neither DITC LLC nor Sendora Inc. is authorised to provide banking, payment, deposit-taking, or e-money services in the European Union, the European Economic Area, the United Kingdom, or the United States of America.

Exclusion of US Persons and No EU/UK Promotion: The services offered on www.ditc.io are not available to US Persons. ‘US Person’ means any citizen of the United States of America, any person holding a US permanent resident card (Green Card), any person resident or domiciled in the United States of America (including any of its states, territories, or possessions), and any legal entity organised or incorporated under the laws of the United States. By accessing or using www.ditc.io you represent and warrant that you are not a US Person. DITC LLC and Sendora Inc. reserve the right to refuse, suspend, or terminate access and services immediately upon determining that a user is or has become a US Person. In addition, DITC LLC does not actively market or promote services to residents of the European Union, the European Economic Area, or the United Kingdom. Residents of those jurisdictions who choose to access www.ditc.io do so on their own initiative and are solely responsible for verifying whether use is lawful in their country of residence.

2.3 Cooperation Basis

DITC LLC and Sendora Inc. cooperate under a written Technology and Infrastructure Services Agreement. Under that agreement, DITC LLC provides the payment gateway platform, APIs, dashboard, routing technology, onboarding and reporting tooling, and technical support to Sendora Inc., while Sendora Inc. provides all fund-holding, settlement, payout, rolling reserve, refund, and chargeback services as the designated financial services counterparty. Risk, underwriting, monitoring, and suspension decisions are taken by DITC LLC as platform operator, acting also on behalf of Sendora Inc. A copy of the agreement is made available to competent regulators on request and, on reasoned request, to a data subject or client to the extent necessary to verify the parties’ roles.

Content published on www.ditc.io is prepared with reasonable care and is intended to be fair, clear, and not misleading. 5. Intellectual Property

Trade marks, logos, software, text, and graphics published on www.ditc.io are owned by or licensed to DITC LLC. Unauthorised reproduction or commercial use is prohibited. A list of active trade-mark registrations is available on request from legal@ditc.io.

6. EU Digital Services Act Contact

For the purposes of the EU Digital Services Act (Regulation 2022/2065), the single point of contact for authorities and recipients of the service is dsa@ditc.io. Languages of communication: English. Notice-and-action requests relating to intellectual property should be sent to legal@ditc.io.

7. Complaints and Alternative Dispute Resolution

Formal complaints should be submitted in writing to complaints@ditc.io. Our Complaints Procedure, published at www.ditc.io/complaints, sets out acknowledgement and response timelines.

The European Commission’s Online Dispute Resolution platform was discontinued on 20 July 2025 pursuant to Regulation (EU) 2024/3228 and has not been replaced. Consumers in the European Union may instead identify a competent alternative dispute resolution body through the European Commission’s directory of dispute resolution bodies at consumer-redress.ec.europa.eu/dispute-resolution-bodies. Consumers in the United States may contact the Attorney General of their state of residence. Details of competent authorities in other jurisdictions are available on request.

This Legal Notice is governed by the laws of the State of Wyoming, United States of America. For consumers habitually resident in the European Union, the European Economic Area, or the United Kingdom, mandatory consumer-protection provisions of their country of residence may additionally apply, and nothing in this Notice prevents such consumers from bringing proceedings in the courts of their home state.
